Membership Terms and Conditions
By entering, connecting, using or creating an account on this website and its associated applications on iPhone, iPad, Android, and any mobile application (hereinafter collectively referred to as the “Platform”) including without limitation to any services offered on the Platform, you acknowledge that you have read and understood the following Terms and Conditions (collectively the “Terms”), including these Terms, terms of our Privacy Policy available at yallalink.com and you agree to be bound by them and to comply with all the applicable laws and regulations regarding your use of the Platform. You acknowledge that these Terms constitute a binding and enforceable legal contract between yourself and Yalla Link FZCO (hereinafter referred to as “Yalla Link”, “Company”, “we”, “us”, “our”) with reference to the use of this Platform. Please read these terms before ordering any items from our application.
You become a user of the Platform (“User” or “you”), by entering, using, browsing or registering on the Platform. As a User, you agree and undertake to comply with the provisions of these Terms.
You are responsible for making all arrangements necessary for you to have access to the Platform. You are also responsible for ensuring that all persons who access the Platform through your Internet connection are aware of these Terms and that they comply with them. By viewing, using, accessing, browsing, or submitting any content or material on the Platform, you agree to these Terms as a binding legal agreement, without limitation or qualification. The term “you” or “You” shall include any person or entity, who views, uses, accesses, browses or submits any content or material to the Platform.
If you do not agree to these Terms, then you may not use the Platform. Yall Link reserves the right to modify these Terms at any time without prior notice. You agree that each visit you make to the Platform shall be subject to the Terms as displayed, and your continued use of the Platform now or following the modifications in these Terms confirms that you have read, accepted, and agreed to be bound by such modifications.
- Platform: Refers to the Yalla Link online portal and all its associated services, features, and content.
- Member: Refers to any individual or entity that registers and uses Yalla Link. This includes Publishers, Institutions, Service Providers, and general users who benefit from the Platform.
- Content: Refers to any information, data, text, logos, trademarks, images, videos, or other materials provided by the Member for use on the Platform.
- Subscription : Refers to a paid membership on the Platform that may offer enhanced features or advertising capabilities.
- We/Us/Our: Refers to Yalla Link.
- You/Your: Refers to the Member.
2.1. To become a Member, you must complete the registration process on the Platform and agree to these Terms and Conditions.
2.2. You warrant that all information provided during the registration process is accurate, complete, and up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.1. By using Yalla Link, you may have the opportunity to submit or share Content on the Platform. You retain ownership of your Content.
3.2. By submitting Content, you grant us a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, display, distribute, modify, adapt, and otherwise utilize your Content on the Platform and any other channels we may deem necessary to operate, promote, or improve the Platform and its services.
3.3. For Members who are Publishers and have a Subscription, this license specifically includes the right for us to use your Content (including your company name, logo, trademarks, service marks, and any other information you provide) for advertising and promotional purposes on the Platform and any other channels we may deem necessary for the benefit of the Publisher.
3.4. We will use commercially reasonable efforts to display your Content appropriately within the context of the Platform. However, we reserve the right to determine the placement, size, format, and overall presentation of Content at our sole discretion.
3.5. You are solely responsible for the accuracy, legality, and quality of your Content. You warrant that you have all necessary rights and permissions to grant us the license described in this section and that your Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party.
4.1. Depending on the membership package you choose, a subscription fee may be applicable for your account on Yalla Link.
4.2. The details of the subscription fees, payment terms, and available packages will be clearly outlined on the Platform during the registration or subscription upgrade process.
4.3. Subscription fees are typically billed on a [monthly/annual] basis or as otherwise specified in your chosen package.
4.4. Payments must be made through the payment methods accepted on the Platform. You agree to provide us with accurate and complete billing information and authorize us to charge the applicable subscription fees to your chosen payment method.
4.5. Unless explicitly stated otherwise, all fees are non-refundable.
4.6. We reserve the right to modify our subscription fees or introduce new fees at any time, provided that we give you reasonable prior notice of any such changes. Continued use of the Platform after the effective date of any fee changes shall constitute your acceptance of such changes.
5.1. You are responsible for ensuring that your Content complies with all applicable laws, regulations, and industry standards.
5.2. You agree not to upload or provide any Content that is false, misleading, defamatory, libelous, obscene, harassing, or otherwise objectionable.
5.3. You will promptly update your Content to ensure its accuracy and relevance.
5.4. You will not engage in any activity that disrupts or interferes with the operation of the Platform or other Publishers' use of the Platform.
5.5. You are responsible for your interactions with other Members on the Platform.
6.1. We reserve the right to review, approve, or reject any Content submitted by Members at our sole discretion.
6.2. We may remove or modify any Content that we believe violates these Terms and Conditions or is otherwise harmful to the Platform or its users.
6.3. We strive to provide a reliable and secure Platform, but we do not guarantee uninterrupted or error-free service.
6.4. We may, from time to time, update, modify, or suspend the Platform or any part thereof, with or without notice.
7.1. The Platform and its original content, features, and functionality are owned by Yalla Link and are protected by applicable copyright, trademark, and other intellectual property laws.
7.2. Except for the license granted to us in Section 3, you retain ownership of your Content.
8.1. You may terminate your Subscription at any time by following the cancellation procedures outlined on the Platform. Please note that cancellation may not result in a refund of any prepaid fees.
8.2. We reserve the right to suspend or terminate your Subscription at any time, with or without cause, and without prior notice. Reasons for termination may include, but are not limited to, violation of these Terms and Conditions, fraudulent activity, or non-payment of subscription fees.
8.3. Upon termination, your right to use the Platform will immediately cease, and we may remove your Content from the Platform.
9.1. THE PLATFORM AND ITS SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9.3. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE RESULTS THAT MAY BE OBTAINED FROM USING THE PLATFORM OR THE EFFECTIVENESS OF ANY ADVERTISING.
9.4. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS TO THE PLATFORM. DOWNTIME MAY OCCUR DUE TO MAINTENANCE, UPGRADES, OR EXTERNAL FACTORS.
10.1 We do not moderate, verify, or control Member interactions. Yalla Link is not a party to any agreement between Members and is not responsible for resolving disputes between them.
11.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YALLA LINK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR THESE TERMS AND CONDITIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2. YOU ACKNOWLEDGE AND AGREE THAT YALLA LINK IS NOT RESPONSIBLE OR LIABLE FOR ANY CONTENT UPLOADED, POSTED, SHARED, OR OTHERWISE MADE AVAILABLE BY MEMBERS ON THE PLATFORM. YOUR USE OF AND RELIANCE ON ANY SUCH CONTENT IS AT YOUR OWN RISK.
11.3. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS AND CONDITIONS SHALL NOT EXCEED THE AMOUNT OF SUBSCRIPTION FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE.
12.1. You agree to indemnify, defend, and hold harmless Yalla Link, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your Content; (c) your breach of these Terms and Conditions; or (d) your violation of any applicable law or the rights of any third party.
13.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Arab Emirates.
13.2. Any dispute arising out of or relating to these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Dubai.
13.3 You acknowledge that you have not relied on any representations, warranties, or statements other than those expressly set out in these Terms.
14.1 Your use of the Platform is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal information.
15.1 These Terms and Conditions constitute the entire agreement between you and Yalla Link regarding your membership and use of the Platform and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
16.1 We reserve the right to modify these Terms and Conditions at any time by posting the revised version on the Platform. Your continued use of the Platform after the effective date of any such modifications constitutes your acceptance of the revised terms. It is your responsibility to review these Terms and Conditions periodically for any changes.
